The Glen of Imaal Terrier Association (GOITA) Rules

The following rules are prescribed by the UK Kennel Club.

Rule 1

Name and Object

The name of the club shall be – “The Glen of Imaal Terrier Association”

It’s objects being:

a) To protect and promote the interests of the breed of Glen of Imaal Terriers as outlined by the U.K. Kennel Club.

b) To render all assistance possible to owners, breeders and exhibitors of Glen of Imaal Terriers by means of a mutual interchange of experiences and in particular to help the novice breeder and new exhibitor.

c) To encourage the breeding and exhibition of the correct type as laid down by the breed standard.

d) To keep, to the best of the Association’s ability a register of all Glen of Imaal Terriers in the country to assist members in the breeding of their animals.

e) To assist in the classification of the breed by issuing a list of approved Judges and offering special prizes where practicable.

Rule 2

Officers and Committee

a) The Association shall consist of Patrons, a President, Chair, Vice-Chair, Honorary Secretary, Honorary Treasurer (the Officers) and a committee of eight (the Committee) and an unlimited number of members, the names and addresses of which shall be kept by the Hon. Secretary and Hon. Treasurer.

Rule 3

Management and Committee

a) The affairs and day to day management of the Association shall be conducted by the officers and committee of the Association elected from the membership.

b) The office of President is one of honour and once in office the President will remain in office during their pleasure and will therefore not be a committee member.

c) Once elected each officer and committee members shall  serve for three years.  On retirement they shall be eligible for re-election unless they have expressed a wish not to be considered.

d) The officers and committee with the exception of the President and vice-presidents will have full voting rights.

e) The committee shall meet as often as deemed necessary,  but not less than three times per annum, and six shall form a quorum for the transaction of business, of which two shall be officers.

f)  Vice -presidents must be fully paid up members of the Association. There shall be as many vice-presidents as the members shall determine. All vice-presidents shall be elected at the Annual General Meeting by the members by a simple majority of those present and voting. Nominations shall be sought before the Annual General Meeting and details of those being nominated, circulated with the agenda before the meeting. 

g) The committee shall have the power to co-opt members onto the committee for specific purposes i.e. a position becoming vacant between annual general meetings or any other reason deemed necessary by the committee.  Those members co-opted will have full voting rights. Co-opted members of the committee will have to stand for re-election at the following A.G.M.

h) No individual who has been a member for less than two years may be elected to the committee

i) All committee members and officials of The Glen of Imaal Terrier Association are to be UK based. No member of any other UK based Glen of Imaal Terrier club (whether registered or otherwise) may serve as a committee member or official of The Glen of Imaal Terrier Association.

j) Any officer or committee member who is unable to attend a committee meeting shall give their apologies and reasons for absence to the Secretary as soon as is practicable. Any officer or committee member who misses three committee meetings without good cause shall become ineligible to serve on the committee. It will be for the committee to decide whether “good cause” has been shown.

k) The officers acknowledge that during the month of January each year Maintenance of Title fee will be forwarded to the Kennel Club by the Secretary for the continuance of registration and that by the 31st of July each year other returns, as stipulated in the Kennel Club regulations for the Registration and Maintenance of Titles of Societies and Breed Councils and the Affiliation of Agricultural Societies and Municipal Authorities, will be forwarded to the Kennel Club. The officers also acknowledge their duty to inform the Kennel Club of any change of Secretary of the society which may occur during the course of the year.

Rule 4

Election of Officers and Committee

a) The list of officers and committee members will be circulated at least 56 days (8 weeks) before the AGM. The list will declare all people offering themselves for re-election and will indicate which positions are open for nomination.

b) Any person of at least 24 calendar  months paid up membership and accepted by the Association may be nominated by two other fully paid up members of at least 24 months standing to serve as an officer or member of the committee.

c) Written nominations, together with the written consent of the members to serve, shall be in the hand of the secretary at least 42 days before the AGM (6 weeks). If the number of nominations exceeds the number of vacancies a paper ballot will be held at the AGM. Voting papers will be returned to the Associations auditor , or some other independent person appointed by the committee for the counting. Voting papers will become available for candidates to inspect at the AGM and for 56 days following the declaration of results.

No person while an un-discharged bankrupt may serve on the committee of, or hold any other office or appointment within, a Kennel Club registered Society.

Rule 5

Election of Members

a) Every person applying for membership shall be proposed and seconded by two fully paid up members of the Association (Payment of fees does not guarantee Membership).  Election shall be by two thirds of the committee present and voting. All new members once elected, to be notified of their acceptance to the Association as soon as practicably possible after the meeting of the committee at which they were passed for membership.

b) All new members to be issued with a receipt for membership monies paid, a membership card showing date of acceptance and a set of rules.

c) Those members living outside the U.K. the Channel Isles and those areas designated by the Kennel Club as under their jurisdiction shall be considered overseas members. There shall be no more than 20 overseas members

d) The Association will notify the Kennel Club of the membership numbers with the annual returns and if so requested make an up to date list of members and their addresses available for inspection by the Kennel Club and members of the Association.

Rule 6

Subscriptions

a) The Annual Subscription shall be £10.00 per single person or couple (The membership in the partnership must be defined and each person in the partnership to have one vote each) when paid by Direct Debit or such other sum determined by the AGM from time to time and notified to the Kennel Club. 

Membership ceases on the 31st December. Benefits of membership shall recommence if subscriptions are paid by the 31st March.

April 1st shall be the last day of payment for subscription to have voting rights at the next AGM.

b) The Subscription for overseas members shall be £10.00.

c) Subscriptions are payable to the Hon. Secretary or the Hon. Treasurer on the 1st January each year or when elected.

d) Any person up to and including 16 may become a junior member (non-voting) for the fee of £1.00 annually.

Members who have not paid their subscriptions by the AGM of the Association shall cease to be entitled to any benefits of membership until the arrears are paid. Membership will cease if the arrears are not paid within12 months of the due date.

Rule 7

Voting Rights

a) Each fully elected member shall be entitled to one vote.

b) Joint members must be defined and shall be entitled to one vote each.

c) Junior members shall not be entitled to vote.

 d) Overseas members shall  be entitled to vote each,  providing they have paid their subscriptions by April 1st. There will be no more than 20 overseas members

e) Voting will be by the method laid down in the rules.

Rule 8

Club Property

a) The property of the club shall be invested in the committee, who shall have the power to dispose of such property should the club be wound up.

b) If the Association is wound up or ceases to be a registered society under Kennel Club regulations, a final statement of audited accounts with a record of the disposal of the property of the Association shall be forwarded to the Kennel Club within six months and the persons named as officers and committee on the last return furnished to the Kennel Club will be held responsible for the proper winding up of the Association.

Rule 9

Association Accounts

a) The Association funds shall be lodged in a bank or building society and shall be in the name of the Association. All withdrawals shall be made on the signatory of two officers one of which shall be the treasurer.

b) The accounts shall be certified annually and presented to the members at the AGM. but will also be sent on request to members at least 7 days before the AGM. Certification of the accounts must be made out by one qualified Accountant or two unqualified individuals with accountancy experience.

c)  The financial year of the Association shall be 1st January to  31st  December each year.

Rule 10

General Meetings

The AGM of the Association will be held at a show or some other place appointed by the committee for the purpose of:

  • Receiving the balance sheet of the association and the       appointment of the auditor;
  • Receiving a report from the relevant officers;
  • To elect the committee and officers;
  • To transact any other business on the agenda;
  • To fix the annual subscription;
  • Any other business at the discretion of the chairman.
Note

No business shall be transacted at the AGM unless notice appears on the agenda, with the exception of  routine matters or those which in the opinion of the Chairman of the meeting are urgent.

a) At least 56 days (8 weeks) notice will be given in writing of an AGM. Notification will be given to all members by publication in club magazine.

b) Agenda items to be sent to the secretary at least 28 days before the date of the meeting. The Agenda will be available at the meeting itself but will also be available at least 14 days before to any member who wishes to apply for it.

c) Agenda items raised at the AGM cannot be presented again for a period of three years, except at the committees discretion.

Rule 11

Special General Meeting

a) A Special General Meetings shall be called by the Hon Sec. at any time upon a written request , which must include the signatures of 30 fully paid up members stating the object of the meeting. The committee of the club is also empowered to call a Special General Meeting. The quorum for a SGM will be 25 fully paid up members who are eligible to vote 

b) Such meetings will be confined to the subject for which the meeting was called. At such meetings only fully paid up members of the Association will have the right to vote and each member will have one vote.

c) At least 28 days notice shall be given of a Special General Meeting. Members will be notified of the time and date and the business of the meeting.

Rule 12

Amendments to rules

Association rules shall not alter except at a Annual General Meeting or Special General Meeting and then by a simple majority of those present and voting.  Such alteration to the rules shall not be brought into force until approval has been given by the Kennel Club. A copy of those rules shall be available to each member and payment of the subscription shall be taken as acceptance of these rules.

Rule 13

Complaints procedure

If any member has a complaint regarding the actions of any other member or decision taken by the committee that complaint must, in the first instance be submitted by post to the secretary of the association, stating the complaint in full. The committee will then decide whether or not to endorse the complaint prior to forwarding the com plaint to the Kennel Club. 

The decision of the Kennel Club will be final. Any other course of action will be deemed to be detrimental or likely to bring the character or interests of the Association into disrepute.

Rule 14

Expulsion of members

The Kennel Club rules shall apply to all Association affairs and it shall be the final authority for interpreting the rules and regulations of the Association relative to canine or Association matters.

Any member who shall be suspended under Kennel Club rule A42j(5) or whose dogs is/are disqualified under Kennel Club Rule A42j(9) shall, ipso facto, cease to be a member of “The Glen of Imaal Association” for the duration of the suspension and /or disqualification.

If the conduct of any member shall , in the opinion of the committee of the Association, be injurious or likely to be injurious, to the character or interests of the Association, The Committee of the Association may, at a meeting (the notice convening which includes as an object the consideration of the conduct of the member) determine that a Special General Meeting of the Association shall be called for the purpose of passing a resolution to expel him/her. Notice of the SGM shall be sent to the accused member giving particulars of the complaint and advising the date, place and hour of the meeting that he/she may attend and offer an explanation. If at the meeting a resolution to expel is passed by a two thirds majority of members present and voting his/her name shall forthwith be erased from the list of members and he/she shall thereupon cease for all purposes to be a member of The Glen of Imaal Terrier Association, except that he/she may within two calendar months from the date of such a meeting appeal to the Kennel Club upon and subject to such conditions as the Kennel Club may impose.

Rule  15

Other Club Affiliations

The Glen of Imaal Terrier Association shall not join any federation of societies or clubs without the express permission of the Kennel Club.

Rule 16

Judging Lists

The Association must produce a list of judges each year, which must be submitted to the kennel club as part of the Association’s Annual Returns. The purpose of the Association’s judging list is to indicate to interested parties those persons the Association would support at differing levels of judging. Judging lists should be divided into five parts, namely A1, A2, A3, B, and C and must indicate the date on which the list will expire. On expiry a new list must be compiled. Such lists should be prepared by a judges sub-committee consisting of at least 75% CC judges for the breed, appointed by the committee of the Association
